D2L LAUNCH WEEK CONTEST TERMS AND CONDITIONS

THIS CONTEST IS OPEN TO REGISTERED ATTENDEES OF D2L LAUNCH WEEK WHO ARE LEGAL RESIDENTS OF JURISDICTIONS WHERE SUCH CONTESTS ARE PERMITTED BY LAW (EXCLUDING RESIDENTS OF QUEBEC). CONTEST IS GOVERNED BY THE LAWS OF THE PROVINCE OF ONTARIO.

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

  1. CONTEST PERIOD:
    The D2L Launch Week Prize Draw (the “Contest”) begins on April 28, 2026, at 10:00 a.m. Eastern Time (“ET”) and ends on May 1, 2026, at 10:30 a.m. ET (the “Contest Period”). The Contest will run across four (4) sessions, with prize draws taking place at the end of each session on April 28, 29, 30 and May 1, 2026.
  2. ELIGIBILITY:
    The Contest is open to registered attendees of D2L Launch Week who are legal residents of jurisdictions where this Contest is permitted by law (excluding residents of Quebec) and who are in attendance during the applicable session at the time of the draw, and who have reached the age of majority in their jurisdiction of residence at the time of entry. Employees, representatives, or agents (and those with whom such persons are domiciled, whether related or not) of D2L Corporation (the “Sponsor”), its affiliated companies, prize suppliers, and advertising or promotion agencies (collectively, the “Contest Parties”) are not eligible to participate. Void where prohibited by law.
  3. HOW TO REGISTER:
    The Contest is administered solely by the Sponsor. You understand that you are providing your information to the Sponsor and the information you provide will only be used for the administration of this Contest and in accordance with the Sponsor’s privacy policy (see below).

    No purchase necessary. To be eligible for a Prize draw on a given session day, an entrant must be a registered attendee of D2L Launch Week and must be in attendance during that day’s session. Registration for D2L Launch Week constitutes agreement to these Official Rules and Regulations (the “Rules”) (the “Registration”). Each eligible attendee present during a session will automatically receive one (1) entry (the “Entry”) into the random Prize draw for that session (see Rule 5). To be eligible, your Registration must be completed prior to the applicable session.

    There is a limit of one (1) Entry per person per session during the Contest Period. If it is discovered that any person has attempted to obtain more than one (1) Entry per session during the Contest Period, then (in the sole and absolute discretion of the Sponsor) he/she/they may be disqualified from the applicable draw and all of his/her/their Entries voided. Use (or attempted use) of multiple names, identities, and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Contest is prohibited and is grounds for disqualification by the Sponsor. The Releasees (defined below) are not responsible for late, lost, misdirected, delayed, incomplete or incompatible Registrations/Entries (all of which are void).

    All Registrations/Entries are subject to verification at any time. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor) to participate in this Contest. Failure to provide such proof to the satisfaction of the Sponsor in a timely manner may result in disqualification. The sole determinant of attendance for the purposes of a valid Entry in this Contest will be the webinar platform’s attendance records.
  4. THE PRIZE AND APPROXIMATE RETAIL VALUE:
    The following prizes (each, a “Prize”) will be awarded each day of the Contest Period as follows: (a) Days 1, 2 and 3 (April 28, 29 and 30, 2026): One (1) swag prize per day (approximate retail value: $15 USD per swag prize), two (2) gift cards per day (approximate retail value: $25 USD per gift card), and one (1) complimentary ticket to D2L Fusion per day (approximate retail value: $750 USD per ticket); (b) Day 4 (May 1, 2026): Two (2) prizes consisting of: (i) one (1) complimentary ticket to D2L Fusion (approximate retail value: $750 USD); and (ii) one (1) D2L swag basket (approximate retail value: $50 USD). Prizes must be accepted as awarded and are not transferable, assignable or convertible to cash (except as may be specifically permitted by Sponsor in its sole and absolute discretion). No substitutions except at Sponsor’s option. Sponsor reserves the right, in its sole and absolute discretion, to substitute any Prize or a component thereof with a prize of equal or greater value. All federal, state/provincial and local taxes and any other costs and expenses associated with the acceptance and/or use of a Prize not specifically provided for in these Rules are solely the winner’s responsibility. Winner is solely responsible for reporting and paying any and all applicable taxes. Please note that due to regional restrictions, company policies, or organizational guidelines, some participants may not be eligible to receive physical prizes or gift cards. If a selected winner is unable to accept a Prize, they may opt out and an alternate winner may be selected at the Sponsor’s discretion.
  5. RANDOM PRIZE DRAW AND WINNER SELECTION:
    There will be Prize draws conducted virtually on each of the following dates at approximately 10:30 a.m. ET (each, a “Draw Date”): April 28, 2026; April 29, 2026; April 30, 2026; and May 1, 2026. Each draw will take place virtually during the D2L Launch Week session. Each person is limited to winning one (1) Prize per session draw. In the event a selected entrant has already been awarded a Prize during the same session’s draw, such entrant will be disqualified from that draw, and an alternate eligible entrant will be selected. For greater certainty, a person who has won a Prize in a prior session’s draw remains eligible to win a Prize in a subsequent session’s draw, subject to these Rules.

    The Sponsor or its designated representative will notify the selected winner by email on the applicable Draw Date. Where applicable, the Sponsor may also engage the winner’s Customer Success Manager to assist with Prize delivery. Winners are not required to be physically present to accept a Prize. If the selected entrant cannot be contacted by email, or if the Prize notice is returned as undeliverable, the Sponsor reserves the right, in its sole and absolute discretion, to forfeit the Prize, select an alternate eligible entrant, or choose not to award the Prize.

    BEFORE BEING DECLARED THE CONFIRMED PRIZE WINNER, the selected entrant may be required to: (a) correctly answer a mathematical skill-testing question without mechanical or other aid (required for residents of Canada); and (b) sign (or electronically acknowledge) the Sponsor’s declaration and release form, which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the Prize as awarded; (iii) releases the Contest Parties and each of their respective officers, directors, agents, representatives, successors and assigns (collectively, the “Releasees”) from any and all liability in connection with this Contest, his/her/their participation therein and/or the awarding and use/misuse of the Prize or any portion thereof; and (iv) agrees to the publication, reproduction and/or other use of his/her/their name, statements about the Contest and/or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in any manner whatsoever, including print, broadcast or the internet. If the selected entrant: (a) fails to correctly answer the skill testing question (where applicable); (b) fails to return the properly executed Contest documents within the specified time; and/or (c) cannot accept the Prize as awarded for any reason; then he/she/they will be disqualified (and will forfeit all rights to the Prize) and the Sponsor reserves the right, in its sole and absolute discretion, to not award the Prize or to randomly select an alternate eligible entrant from among the remaining eligible Entries.
  6. ODDS OF WINNING:
    The odds of winning a Prize on any given Draw Date depend on the total number of eligible entries received for that session’s draw. Because attendance may vary across sessions, the odds of winning will differ for each draw and cannot be determined in advance. There are four (4) separate draws, one per session day, and winning one draw does not affect eligibility for subsequent draws.
  7. GENERAL CONDITIONS:
    All Entries become the property of the Sponsor. This Contest is subject to all applicable federal, state/provincial, and municipal laws and regulations. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of Entries and/or entrants. By participating in this Contest, you are agreeing to be legally bound by the terms and conditions of these Rules.

    The Releasees will not be liable for: (i) any technical malfunction or other problems relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (ii) the failure of any Entry to be received for any reason, including, but not limited to, technical problems or traffic congestion on the Internet or at any website; (iii) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating in the Contest; and/or (iv) any combination of the above.

    In the event of a dispute regarding who submitted an Entry, Entries will be deemed to have been submitted by the authorized D2L Launch Week registered attendee at the time of entry. An entrant may be required to provide proof (in a form acceptable to the Sponsor) that he/she/they is the authorized D2L Launch Week registrant associated with the Entry in question.

    The Sponsor reserves the right, in its sole and absolute discretion, to withdraw, amend or suspend this Contest (or to amend these Rules) in any way, in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Contest as contemplated by these Rules. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest in any way (as determined by Sponsor in its sole and absolute discretion) is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right, in its sole and absolute discretion, to cancel, amend or suspend this Contest, or to amend these Rules, without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason.

    By entering this Contest, each entrant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted with his/her Entry only for the purpose of administering the Contest and in accordance with Sponsor’s privacy policy (available at: www.d2l.com/legal/privacy), unless the entrant otherwise agrees.

    The Sponsor reserves the right, in its sole and absolute discretion, and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Rules, to the extent necessary, for purposes of verifying compliance by any entrant or Entry with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason.

    In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: the Registration, website and/or point of sale, television, print or online advertising; the terms and conditions of these Rules shall prevail, govern and control.
