Contest Terms

THIS CONTEST IS OPEN ONLY TO RESIDENTS OF CANADIAN (EXCLUDING RESIDENTS OF QUEBEC) AND THE 50 UNITED STATES (INCLUDING THE DISTRICT OF COLUMBIA).

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Contest Period:

The D2L New Learning Standard for Organizations Survey Contest (the “Contest”) begins on December 6, 2017 at 9:00 a.m. Eastern Time (“ET”) and ends on December 20, 2017 at 11:59 p.m. ET (the “Contest Period”).

2. ELIGIBILITY:

Contest is open to all legal residents of Canada (excluding residents of Quebec) and 50 United States (including the District of Columbia) who have reached the age of majority in their province/territory/state of residence at the time of entry, except employees, representatives or agents (and those with whom such persons are domiciled, whether related or not) of D2L Corporation (the “Sponsor”), its affiliated companies, prize suppliers and advertising/promotion agencies (collectively, the “Contest Parties”). Void where prohibited.

3. HOW TO ENTER:

NO PURCHASE NECESSARY. To register, go to https://d2l.ca1.qualtrics.com/jfe/form/SV_6DtEXpcWoFzpeWp (the “Website”) and fully submit the survey and submit as instructed, which requires you to: (i) enter a valid email address and (ii) signify your agreement that you have read and agree to be legally bound by the terms and conditions of these Official Rules and Regulations (the “Rules”). Once you have fully completed the Form with all required information, follow the on-screen instructions to submit your completed registration (the “Registration”). To be eligible, your Registration must be submitted and received within the Contest Period. An eligible Registration will automatically result in one (1) entry (the “Entry/Entries”) into the random prize draw (see Rule 5).

To obtain one (1) Entry in the Contest without completing the survey, print your first name, last name, telephone number, complete mailing address (including postal / zip code), age and signature on a plain white piece of paper and mail it (in an envelope with sufficient postage) along with a 500 word or more unique and original essay (the “Essay”) on digital learning in the workplace to: D2L Corporation, D2L Enterprise Survey Contest, 151 Charles Street West, Suite 400, Kitchener, Ontario, Canada, N2G 1H6. US residents are not required to include an Essay in order to receive the Entry. Upon receipt of your mail-in no purchase necessary entry request in accordance with these Rules, you will receive one (1) Entry in the Contest per unique and original Essay per envelope with sufficient postage. To be eligible, all mail-in no purchase necessary entry requests must: (i) be received separately in an envelope bearing sufficient postage (i.e. mass mail-in no purchase necessary entry requests in the same envelope will be void); and (ii) be post-marked during the Contest Period and received by no later than December 20, 2017. The Releases (defined below) take no responsibility for any lost, stolen, delayed, illegible, damaged, misdirected, late or destroyed mail-in no purchase necessary entry requests.

There is a limit of one (1) Registration per person/email address permitted during the Contest Period. For greater certainty, you can only use one (1) email address to register for the Contest. If it is discovered that any person has attempted to: (i) obtain more than one (1) Registration per person/email address during the Contest Period; and/or (ii) use (or attempt to use) multiple names, identities and/or more than one (1) email address to register for the Contest; then (in the sole and absolute discretion of the Sponsor) he/she may be disqualified from the Contest and all of his/her Entries voided. Your Registration will be rejected if (in the sole and absolute discretion of the Sponsor) the Form is not fully completed with all required information and submitted and received during the Contest Period. Use (or attempted use) of multiple names, identities, email addresses and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Contest is prohibited and is grounds for disqualification by the Sponsor. The Releasees (defined below) are not responsible for late, lost, misdirected, delayed, incomplete or incompatible Registrations/Entries (all of which are void).

All Registrations/Entries are subject to verification at any time. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification) to participate in this Contest. Failure to provide such proof to the satisfaction of the Sponsor in a timely manner may result in disqualification. The sole determinant of the time for the purposes of a valid Registration/Entry in this Contest will be the Contest server machine(s).

4. THE PRIZE AND APPROXIMATE RETAIL VALUE:

There will be one of five (5) prizes available to be won consisting of an Amazon Gift Card; with an approximate retail prize value of $100 (the “Prize”). The Prize will be an Amazon.com gift card (in USD) if U.S. resident and Amazon.ca gift card (in CAD) if Canadian resident. Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by Sponsor in its sole and absolute discretion). No substitutions except at Sponsor’s option. Sponsor reserves the right, in its sole and absolute discretion, to substitute the Prize or a component thereof with a prize of equal or greater value, including, without limitation, but at Sponsor’s sole and absolute discretion, a cash award. Prize will only be awarded to the person whose verifiable valid email address appears on the Form. For US residents only: The value of the Prize will be taxable to winner as income. All federal, state and local taxes and any other costs and expenses associated with the acceptance and/or use of Prize not specifically provided for in these Rules are solely the winner’s responsibility. Winner is solely responsible for reporting and paying any and all applicable taxes. Winner must provide the Sponsor with valid identification and a signed Form W-9 with a valid taxpayer identification number or social security number before any Prize will be awarded if required.

5. RANDOM PRIZE DRAW AND WINNER SELECTION:

On January 8, 2018 (the “Draw Date”) in Toronto, Ontario at approximately 1:00 p.m. ET, five (5) eligible entrants will be selected by random draw from among all eligible Entries received during the Contest Period. The odds of winning depend on the number of eligible Entries received during the Contest Period.

The Sponsor or its designated representative will make a minimum of 3 attempts to contact the selected entrant by email (using the information provided on the Form) within 5 business days of the Draw Date. If the selected entrant cannot be contacted within 5 business days of the Draw Date, or if there is a return of any notification as undeliverable; then he/she will be disqualified (and will forfeit all rights to the Prize) and the Sponsor reserves the right, in its sole and absolute discretion, to randomly select an alternate eligible entrant from among the remaining eligible Entries (in which case the foregoing provisions of this section shall apply to such new selected entrant).

BEFORE BEING DECLARED THE CONFIRMED PRIZE WINNER, the selected entrant will be required to: (a) Only Required for Canadian residents: correctly answer a mathematical skill-testing question without mechanical or other aid; and (b) in the discretion of the Sponsor, sign and return within 5 business days of notification the Sponsor’s declaration and release form, which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the Prize as awarded; and (iii) releases the Contest Parties and each of their respective officers, directors, agents, representatives, successors and assigns (collectively, the “Releasees”) from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of the Prize or any portion thereof. If the selected entrant: (a) fails to correctly answer the skill-testing question (only for Canadian residents); (b) fails to return the properly executed Contest documents within the specified time; and/or (c) cannot accept the Prize as awarded for any reason; then he/she will be disqualified (and will forfeit all rights to the Prize) and the Sponsor reserves the right, in its sole and absolute discretion, to randomly select an alternate eligible entrant from among the remaining eligible Entries (in which case the foregoing provisions of this section shall apply to such new selected entrant).

6. GENERAL CONDITIONS:

All Entries become the property of the Sponsor. This Contest is subject to all applicable federal, state, provincial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of Entries and/or entrants. By participating in this Contest, you are agreeing to be legally bound by the terms and conditions of these Rules.

The Releasees will not be liable for: (i) any failure of the Website during the Contest; (ii) any technical malfunction or other problems relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Entry to be received for any reason, including, but not limited to, technical problems or traffic congestion on the Internet or at any website; (iv) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating in the Contest; and/or (v) any combination of the above.

In the event of a dispute regarding who submitted an Entry, Entries will be deemed to have been submitted by the authorized account holder of the email address submitted at the time of entry. “Authorized account holder” is defined as the person who is assigned an email address by an internet provider, online service provider, or other organization (e.g. business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. An entrant may be required to provide proof (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification) that he/she is the authorized account holder of the email address associated with the Entry in question.

The Sponsor reserves the right, in its sole and absolute discretion, to withdraw, amend or suspend this Contest (or to amend these Rules) in any way, in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Contest as contemplated by these Rules. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest in any way (as determined by Sponsor in its sole and absolute discretion) is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right, in its sole and absolute discretion, to cancel, amend or suspend this Contest, or to amend these Rules, without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason.

By entering this Contest, each entrant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted with his/her Entry only for the purpose of administering the Contest and in accordance with Sponsor’s privacy policy (available at: https://www.d2l.com/legal/privacy/), unless the entrant otherwise agrees.

Entrants may be given the option to receive commercial emails and/or other communications from the Contest Sponsors or other parties; however, eligibility to participate in the Contest is not dependent upon an entrant’s consent to receive any such emails or communications, and consenting to receiving such emails or communications will not impact an entrant’s chances of winning. Sponsor will not send informational or marketing communications to entrants, unless entrants consent to receive such communications in accordance with applicable laws. Entrants may at any time opt out of receiving such materials by following the unsubscribe instructions provided in any of these communications. Please consult the Sponsor’s Privacy Policy referenced above for further information on how Sponsor collects, uses, and discloses personal information. Where you elect to receive informational or marketing communications from a party other than Sponsor, you consent to Sponsor disclosing your personal information to such other party to this end, and you understand and agree that, once so disclosed, your information will be subject to that other party’s privacy policy and information handling standards and practices.

You further acknowledge and agree that, where you enter a Contest by means of a third party service, any personal information that you share with, or by means of, such third party service may also be used by the applicable third party service in accordance with its own privacy policy.

By entering this Contest, you: (a) agree to remise, release and forever discharge the Sponsors, their respective parent and affiliated companies, any and all other companies associated with the Contest (including prize suppliers and suppliers of materials or services related to the Contest), and all Releasees from any and all actions, causes of action, suits, debts, dues, accounts, claims, damages or liability for any loss, harm, damages, costs or expenses, including, without limitation, costs or losses related to personal injuries, death, damage to, loss or destruction of property, and rights of publicity, personality, privacy and/or intellectual property (each, a “Claim”) arising out of, or in any way related to, your participation in the Contest and/or the awarding, receipt, possession, use and/or misuse of any Contest prize (or any portion thereof), or any travel or activity that is related to the receipt or use of any Contest prize; and (b) agree to indemnify and hold harmless each of the Releasees from and against any and all Claims arising from (i) your breach of these Official Rules, including the breach of any representations or warranties contained herein, (ii) your participation in the Contest, (iii) your acceptance, possession, use and/or misuse of any Contest prize (or any portion thereof), if applicable, or (iv) the use of any Entry Material in accordance with the rights granted in these Official Rules. Contest is governed by Canadian law.

The Sponsor reserves the right, in its sole and absolute discretion, and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Rules, to the extent necessary, for purposes of verifying compliance by any entrant or Entry with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason.

In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: the Form, Website and/or point of sale, television, print or online advertising; the terms and conditions of these Rules shall prevail, govern and control.
