As a Corporate Counsel, you will manage D2L and its international subsidiaries corporate legal functional areas and advise the VP, Compliance and Assistant General Counsel, Chief Legal Officer and senior management on matters such as corporate finance, securities and mergers & acquisitions.

As a Corporate Counsel, you will manage D2L and its international subsidiaries corporate legal functional areas and advise the VP, Compliance and Assistant General Counsel, Chief Legal Officer and senior management on matters such as corporate finance, securities and mergers & acquisitions. You will be responsible for ensuring the organization’s and its subsidiaries’ compliance with governing documents and other material agreements, maintaining minute books and other corporate records, overseeing all corporate and securities filings, and assisting in the administration of the stock option plan. You will act as a facilitator and trusted advisor to the business by providing practical legal advice across internal stakeholder groups.


  • Working closely with the VP Compliance and Assistant General Counsel to provide legal advice to the Board of Directors and the senior leadership team on corporate finance, securities and mergers & acquisitions.
  • Ensuring the company and its subsidiaries remain onside statutory obligations, governing documents and other material agreements.
  • Assist with corporate governance requirements, continuous disclosure obligations, and general regulatory compliance matters.
  • Maintaining minute books and other corporate records.
  • Assisting in the administration of the D2L Long Term Incentive Plans.
  • Supporting and maintaining subsidiaries in Canada, the U.S., UK, Australia, Singapore, Netherlands and Brazil and overseeing the establishment of new subsidiaries in new jurisdictions as required.
  • Developing, drafting, revising, administering, implementing and interpreting the Company’s compliance policies, procedures and programs.
  • Liaising with regulatory bodies and government authorities as required.
  • Cross-functional project management.


  • Called to a bar in Canada or the United States.
  • Minimum 2 years of relevant experience as a corporate lawyer in a leading law firm or in-house.
  • Strong knowledge of and experience drafting and reviewing contract terms and conditions, including liability, indemnity and IP considerations, government regulations and procurement practices.
  • Exceptional written and oral communication and strong interpersonal skills.
  • Technologically-inclined, organized, detail-oriented and capable of working independently.
  • Hard working, highly committed, reliable and flexible.
  • Ability to multi-task effectively in fast-paced, multiple-project environment.
  • Strong analytical and problem-solving skills.
  • Project management skills and the ability to work cross-functionally.
  • Transaction management experience an asset.
